Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Sellerz regarding your access to and use of the Sellerz marketplace platform. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Use of Platform

Eligibility

You must be at least 18 years old to use Sellerz. By using our platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Account Registration

To access certain features, you must register for an account. You agree to:

• • Maintain and promptly update your account information
• • Maintain the security of your account credentials
• • Accept responsibility for all activities under your account
• • Immediately notify us of any unauthorized access

Prohibited Activities

You agree not to:

• • Post false, misleading, or fraudulent listings
• • Harass, abuse, or harm other users
• • Interfere with or disrupt the platform's operation
• • Attempt to access unauthorized areas of the platform
• • Use automated systems to access the platform without permission
• • Collect or harvest user information without consent
• • Circumvent any security features of the platform

Listings and Transactions

Seller Responsibilities

If you sell on Sellerz, you agree to:

• • Provide accurate descriptions and photographs of items
• • Only list items you have the right to sell
• • Honor all sales and delivery commitments
• • Respond promptly to buyer inquiries
• • Comply with all applicable laws and regulations
• • Pay all applicable fees

Buyer Responsibilities

If you buy on Sellerz, you agree to:

• • Complete all transactions you commit to
• • Pay promptly for items purchased
• • Communicate respectfully with sellers
• • Review items carefully before purchase
• • Report any issues promptly

Platform Role

Sellerz acts as a marketplace platform connecting buyers and sellers. We are not a party to transactions between users and are not responsible for the quality, safety, legality, or accuracy of listings or the ability of sellers to complete transactions or buyers to pay for items.

Fees and Payment

Sellerz charges a 5% fee on completed sales. Fees are non-refundable except as required by law. We reserve the right to change our fee structure with 30 days' notice. Continued use of the platform after fee changes constitutes acceptance of the new fees.

You are responsible for any taxes, duties, or other governmental assessments associated with your use of the platform.

Intellectual Property

Platform Content

The platform and all content, features, and functionality are owned by Sellerz and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

User Content

You retain ownership of content you post on the platform. By posting content, you grant Sellerz a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the platform. You represent and warrant that you own or have the necessary rights to post your content.

Disclaimers and Limitations

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE FULLEST EXTENT PERMITTED BY LAW, SELLERZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

Dispute Resolution

We encourage users to resolve disputes directly. If you cannot resolve a dispute with another user, you may use our dispute resolution process. Any disputes with Sellerz shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Termination

We may terminate or suspend your account and access to the platform immediately, without prior notice or liability, for any reason, including breach of these Terms. You may terminate your account at any time by contacting us.

Upon termination, your right to use the platform will immediately cease. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the new Terms on the platform and updating the "Last Updated" date. Your continued use of the platform after changes constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
